Sharon is a highly accomplished attorney with expertise in all aspects of commercial and industrial real estate, banking and finance, corporate structuring, strategic business planning, and complex commercial transactions. She holds an LLM in taxation law from the University of San Diego School of Law and is a licensed California real estate broker.
With hands-on experience as in-house general counsel to a real estate investment company, and outside general counsel to a non-profit corporation, she is extremely effective working with governmental authorities. She has a proven track record of developing and implementing creative solutions to complex legal problems.
Representative Matters:
- Advised private and institutional clients on entity formation, partnership, joint venture, investment, and transaction structuring.
- Represented borrowers, senior lenders and junior lenders in equity and asset based public and private financing transactions, including modifications, workouts, defeasance, and loan sales.
- Represented national developers in the acquisition, entitlement, construction, and leasing of mixed use real estate projects.
- Represented parties in complex commercial matters, including licensing, distribution, and manufacturing agreements, and the bulk sale and acquisition of corporate assets.
- Represented principals in the formation of private placement fund for new celebrity chef restaurants.
- Resolved decades-long zoning compliance issues for a 900-acre hospitality center, and obtained approvals for extensive new construction.
- Provided “Outsourced General Counsel” services to corporate clients, including employment contract interpretation and enforcement.
Sharon likes to express creatively through dance, music, and painting. In a quieter vein, she enjoys meditation and is a voracious reader.
